Contractor Agreement
By accepting a job with us, you are agreeing to the terms set out below, unless you have stated otherwise in writing before starting the work.
The Agent (Sowerbys Estate Agents Ltd) manages and maintains properties on behalf of Landlords and is appointed as the Landlord’s agent. The Agent appoints Contractors to provide certain services, maintenance, or repairs on behalf of the landlord in its capacity as Agent for the Landlord.
The agent wishes to appoint you the “Contractor” to provide maintenance and repair services from time to time at various properties on behalf of the Agent’s landlord clients.
By accepting a job request from Sowerbys It is acknowledged and agreed by both parties that this contract is a business-to-business contract for services. For the avoidance of doubt, this contract does not restrict the Contractor practising its own trade outside of the work instructed by the Agent.
Contract Agreement
1. Requirements of the Contractor
1.1 The Contractor confirms that it will exercise all proper skill, care and diligence to be expected of an experienced Contractor and carry out the appropriate risk assessment prior to undertaking the works.
1.2 The Contractor confirms that it is capable of performing all repairs and maintenance work requested of it and has all the necessary equipment, staff and qualifications for this purpose. FURTHER, the Contractor confirms that it will not undertake any work, for which it is not qualified or capable of performing.
1.3 The Contractor confirms it has copies of all relevant qualifications and/or certificates including those of any memberships to Trade Associations and Guilds relevant to the works being requested of them. And will supply copies when such certificates or registrations are renewed.
1.4 The Contractors agrees to maintain Public Liability Insurances and will provide The Agent a current copy of the certificate and will supply copies when such insurance is renewed.
1.5 The Contractor agrees to only take instructions from a properly authorised employee of the Agent and will not attend a property until they have received written instructions in the form of a Works Order
1.6 Upon completion of works, the Contractor agrees to clear up and remove any debris and dust caused by the works, remove from the property and dispose of at a properly licensed waste centre and will leave the property in a clean and tidy state. In the event that works will last for more than one day, the Contractor confirms they will leave the property in a safe & tidy condition and any possessions left at the property are left entirely at the Contractor’s own risk.
1.7 In the event that the Contractor is required to collect keys from the relevant branch office, the Contractor will only enter using keys where this has been agreed with the Tenant.
1.8 The Contractor agrees to return any keys that might have been collected the same day to the relevant branch office, unless this has otherwise been agreed with the Agent.
2. Payment Terms
2.1. The Contractor agrees to provide an invoice for works to the Agent as soon as it is administratively possible after the completion of the works outlined in the Works Order.
2.2. The Contractor acknowledges that they may wait up to 30 days for payment of the invoice. FURTHER the Contractor acknowledges that invoices are paid from the rental income for the property with the responsibility of payment coming from the landlord owner of the property. Should there be any extenuating circumstances where the contractor require payment prior to the commencement of the works then the Contractor agrees to raise this with the Agent and ensure an agreement is made before the undertaking of the works.
2.3. The Contractor recognises that payment of the invoice will depend on the successful completion of the repairs or maintenance, and should the Agent determine the work is defective or not up to the required standard then the Agent reserves the right to request the Contractor rectify the defective workmanship without further charge.
2.4. Payment will be made by BACS transfer to the Contractor’s nominated bank account.
2.5. The Contractor accepts that the Agent operates as such for the Landlord and as such the Agent cannot accept liability to the Contractor for any invoices.
3. Health & Safety
3.1 The Contractor will ensure that all its employees and any other persons acting on its behalf operate fully in accordance with all relevant Health & Safety Legislation and adopt safe methods of works.
4. Data Protection
4.1 The Contractor agrees by signing this Agreement that the Agent will retain the details of the Contractor in either electronic or written form and may provide these details to the landlord, tenant or any other interested third party.
4.2. Throughout the course of this business relationship, the Contractor will be provided with contact details for landlords and tenants. The Contractor agrees not to use the contact details if such use falls outside the remit of property maintenance and agrees to dispose of such contact details once works are completed at the associated properties.
5. Discrimination
5.1 The Contractors agrees not to discriminate or allow any employee to discriminate against any occupier at a property, or employee of the Agent for gender, sexual orientation, race, disability or religious beliefs.
6. Termination of Agreement
6.1 Either party can terminate this agreement given written notice giving 1 months’ notice to the other party. I/we the undersigned have read and understood and agree to abide by the terms and conditions as set out in this agreement.
